Terms of Service

These Terms of Service ("Terms") govern your purchase and use of Northlight Meetings (the "Software"), a Windows desktop application provided by Northlight Advisory Services ("we," "us," or "our"), operating at bynorthlight.ca. By purchasing or using the Software, you agree to these Terms.

1. The Software

Northlight Meetings is a Windows desktop application for meeting transcription, note-taking, and productivity integration. The Software is provided as a one-time purchase — there is no subscription, and access does not expire.

Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on devices you own or control, for your personal or internal business purposes. You may not:

3. Payment and Merchant of Record

All payments for Northlight Meetings are processed by Paddle.com, who acts as the Merchant of Record for all purchases. When you complete a purchase, you are transacting with Paddle, not directly with Northlight Advisory Services. Paddle is responsible for:

4. Refunds

Refund requests are handled by Paddle in accordance with Paddle's Refund Policy. You may initiate a refund request by contacting Paddle Buyer Support or by emailing us at [email protected] and we will assist with the request.

5. Updates and Support

We may release updates to the Software from time to time. Updates available during the current release version are provided at no additional charge. Support is available by email at [email protected]. We will make reasonable efforts to respond within 2 business days.

The Software requires a Groq API key (available free at console.groq.com) and VB-Audio Cable for audio routing. These are third-party services and their availability is outside our control.

6. Privacy

Your use of the Software is also governed by our Privacy Policy, which describes how we handle data collected through the Software and our website.

7. Acceptable Use

You agree not to use the Software to record conversations without the consent of all participants where required by applicable law. You are solely responsible for ensuring your use of the Software complies with any recording consent laws in your jurisdiction.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or free of security vulnerabilities.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Northlight Advisory Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the Software.

10. Governing Law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Nova Scotia, Canada.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by email. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
